Flaq AI Affiliate Agreement

This Affiliate Agreement (the "Agreement") governs participation in the Flaq AI Affiliate Program (the "Program") and forms an agreement between FLAQ AI PTE. LTD. ("Flaq AI," "we," "us," or "our") and each approved participant ("Affiliate," "you," or "your").

1. Acceptance of This Agreement

By applying to, joining, accessing, or participating in the Program, including by confirming your agreement during affiliate profile setup, you acknowledge that you have read, understood, and agreed to this Agreement. If you do not agree, you must not participate in the Program.

2. Program Participation

Participation in the Program is subject to the following requirements:

• You must provide accurate, complete, and current affiliate profile and payout information.
• You must have the legal capacity and authority to accept this Agreement for yourself or the entity you represent.
• You are responsible for all activity conducted through your Flaq AI account, affiliate profile, and referral links.
• Flaq AI may accept, reject, review, suspend, or disable participation when reasonably necessary to operate and protect the Program.

3. Referral Links and Attribution

Approved Affiliates may create referral links containing a unique via keyword. A referred user must register through a valid referral link and be recorded by the Flaq AI platform as attributed to the Affiliate.

• The referral attribution window begins when the referred user registers and continues for 60 days.
• Only orders placed by an attributed referred user within the applicable attribution window may qualify for commission.
• Flaq AI platform records determine referral attribution, order eligibility, and commission status. You may contact us if you believe a record contains an error.
• Any approved custom partner strategy, commission rate, or attribution arrangement must be confirmed by Flaq AI and will apply only to the scope stated in that arrangement.

4. Commissions

Affiliate commissions are calculated from valid paid orders recorded by the Flaq AI platform:

• The referred user's first valid paid order earns a 20% commission.
• Following valid paid orders placed by the same referred user within the 60-day attribution window earn a 10% commission.
• An order is not commissionable if it is refunded, cancelled, charged back, reversed, risk-blocked, fraudulent, self-referred, duplicated, artificially generated, or connected to a violation of this Agreement.
• Commission rates and eligible order details shown in the Program or an approved custom partner arrangement apply subject to review under this Agreement.

5. Payouts

Commissions become available for payout only after they have completed the applicable order, refund, chargeback, risk, and policy review.

• Your approved and available commission balance must reach at least USD $100 before you may request a payout.
• Payout requests are submitted through the affiliate workspace and remain subject to final review.
• You may add and use a payout method currently supported by the platform. Supported payout methods may change over time, and you are responsible for keeping your payout details accurate and current.
• Payout requests will be reviewed within 3 business days after submission. Payment processing after approval may take additional time depending on the selected payout method.
• You are responsible for taxes, reporting obligations, currency conversion costs, and third-party fees that apply to your commission payments.

6. Refunds, Reversals, and Chargebacks

Flaq AI reviews commissions before they become eligible for payout, but a transaction may be reversed or found ineligible after a payout has been processed.

• A commission connected to a refund, cancellation, chargeback, payment reversal, fraud, self-referral, or material violation may be rejected or reversed.
• If an affected commission has already been paid, Flaq AI may offset the amount against future commissions.
• In cases involving fraud or material abuse, Flaq AI reserves the right to request repayment of the affected amount.

7. Advertising and Promotion

Affiliates may promote Flaq AI through accurate, lawful, and useful content, including websites, tutorials, reviews, videos, newsletters, communities, social media, and other appropriate channels.

• Compliant paid advertising may be used to promote your own original content or landing pages.
• You may not bid on protected Flaq AI brand terms, impersonate Flaq AI, use misleading advertising, or use a Flaq AI domain as the direct destination URL for paid ads.
• Coupon sites, rebate or cashback platforms, incentivized traffic, rewards-based promotions, and similar methods require Flaq AI's prior written approval.
• You must keep material product, feature, pricing, commission, and promotional information accurate and reasonably up to date.

8. Prohibited Activities

The following activities are prohibited and may result in rejected commissions, suspension, or termination:

• Spam, unsolicited bulk messaging, deceptive redirects, forced clicks, false urgency, or misleading product, pricing, discount, or earnings claims.
• Self-purchases, referrals involving accounts you control, fake accounts, scripted registrations, artificial orders, duplicate transactions, or other attempts to manipulate attribution or commissions.
• Cookie stuffing, click injection, hidden links, bots, automated traffic, or any method that records attribution without a genuine user choice.
• Creating domains, social accounts, advertisements, pages, or materials that impersonate Flaq AI or create confusion about an official relationship.
• Using Flaq AI intellectual property without permission or modifying approved assets in a misleading, unlawful, or harmful manner.
• Promoting Flaq AI through illegal, infringing, hateful, abusive, fraudulent, or otherwise harmful content or activity.

9. Affiliate Disclosure and Legal Compliance

You must clearly and conspicuously disclose your affiliate relationship wherever required so that audiences understand you may receive a commission. You must comply with all advertising, endorsement, consumer protection, privacy, anti-spam, and platform rules applicable to your promotional activities, including making disclosures in a language appropriate for the audience.

10. Brand and Intellectual Property

Flaq AI grants you a limited, non-exclusive, non-transferable, revocable permission to use approved names, links, logos, and promotional materials solely to participate in the Program. You do not acquire ownership of Flaq AI intellectual property, and you must stop using or update materials when requested.

11. Review and Enforcement

Flaq AI may review affiliate accounts, referral sources, promotional methods, attributed users, orders, and commissions to investigate suspected errors, fraud, abuse, or policy violations. Affected commissions or payouts may be held while a reasonable review is completed. You may contact us to request clarification or review of a decision.

12. Independent Relationship and Taxes

You participate as an independent Affiliate. Nothing in this Agreement creates an employment, agency, partnership, joint venture, franchise, or exclusive relationship, and you may not make commitments on behalf of Flaq AI. You are responsible for your own business expenses, taxes, registrations, and legal obligations.

13. No Earnings Guarantee and Limitation of Liability

Flaq AI does not guarantee traffic, referrals, conversions, commissions, payout timing, or any minimum level of earnings. The Program is provided on an as-is and as-available basis. To the maximum extent permitted by applicable law, Flaq AI will not be liable for indirect, incidental, special, consequential, or punitive damages arising from participation in or inability to use the Program.

14. Suspension and Termination

Participation in the Program continues until terminated by you or Flaq AI.

• You may request termination of your participation by contacting [email protected].
• Flaq AI may suspend or terminate participation for a violation, suspected abuse, legal or security risk, harm to the Flaq AI brand or users, or discontinuation of the Program.
• After termination, future commissions stop accruing. Outstanding commissions remain subject to this Agreement and the platform's current payout rules, and commissions connected to a violation may be withheld, reversed, or forfeited.

15. Changes to the Program or This Agreement

Flaq AI may update the Program, commission rules, payout rules, or this Agreement by posting revised terms with an updated date. Changes apply from their stated effective date. Continued participation after an update constitutes acceptance of the revised terms.

16. Applicable Laws

This Agreement and participation in the Program are subject to applicable laws and regulations. You are responsible for complying with the laws, advertising rules, privacy requirements, tax requirements, and platform policies that apply to your activities and location.

17. Related Terms

This Agreement supplements the Flaq AI Terms and Conditions and Privacy Policy. If a Program-specific provision conflicts with a general provision, this Agreement controls only with respect to participation in the Program.
